Introduction

1.1 These Terms and Conditions (“Terms”) govern the use of OhmsKids’ services, including but not limited to, coding classes, thinker program, and other educational programs (collectively, “Services”).

1.2 By using the Services, you (“Parent” or “Guardian”) agree to be bound by these Terms.

1.3 OhmsKids reserves the right to modify or update these Terms at any time without prior notice.

Definitions

2.1 “Child” refers to the minor child enrolled in OhmsKids’ Services.

2.2 “Parent” or “Guardian” refers to the adult responsible for the Child’s enrollment and well-being.

2.3 “Services” refers to OhmsKids’ coding classes, Thinker Program, and other educational programs.

Enrollment and Payment

3.1 Enrollment in OhmsKids’ Services is subject to availability and acceptance by OhmsKids.

3.2 Payment for Services must be made in full prior to the commencement of each term or year, as applicable.

3.3 Failure to make payment by the due date may result in the suspension of Services until payment is received.

3.4 OhmsKids accepts various payment methods, including bank transfer and PayNow.

3.5 A registration fee and deposit are required upon enrollment.

3.6 The course fee is based on a minimum of 4 students. If the minimum number of students is not met, OhmsKids reserves the right to cancel or postpone the course.

3.7 OhmsKids reserves the right to make changes to the conduct of classes, including but not limited to combining, rescheduling, or altering the manner in which classes are conducted.

Discounts

4.1 OhmsKids may, at its sole discretion, offer discounts on Services, including but not limited to waiving the registration fee and deposit, lowering hourly or term fees, or providing smaller package options. If the deposit is waived, no deposit will be refunded in the event of cancellation.

4.2 All discounts are discretionary and subject to change without prior notice. Eligibility for discounts will be determined by OhmsKids on a case-by-case basis.

4.3 Vouchers may be issued by OhmsKids for promotional purposes. Each Parent or Guardian is entitled to use only one voucher per enrollment period. Each voucher can only be used one time and cannot be reused in another term. Vouchers are valid for use starting from Term 2 onwards and cannot be applied to the initial term or any prior terms. Vouchers are valid as stated on the voucher and have a maximum validity of one year from the date of issue, which is defined as the date the voucher is received via email or WhatsApp. Vouchers can only be applied to non-discounted items and cannot be combined with other discounts or offers.

4.4 Each Child is allowed only one trial class per program. If the trial class is canceled, no further trial classes will be permitted for that program.

4.5 Discounts cannot be combined with other discounts, offers, or vouchers.

4.6 Discounts cannot be carried over to another term unless the validity of the discount explicitly allows for such carryover.

4.7 Vouchers and discounts are non-transferable and may only be used by the Parent or Guardian to whom they were issued. They cannot be sold, assigned, or transferred to any other individual or entity.

Refund Policy

5.1 There shall be no refund under any circumstances, including but not limited to, cancellation, withdrawal, or non-attendance, except in cases where OhmsKids exercises its discretion to provide a refund as a gesture of goodwill.

5.2 Any refund provided under this clause shall be at the sole discretion of OhmsKids and shall not be considered as a right or entitlement.

5.3 If a refund is approved, OhmsKids will process the refund within 30 days of the approval notification. The refund will be transferred back to the original payment method used for the transaction (e.g., bank transfer, credit card, or PayNow) or to another payment method of choice as agreed upon by OhmsKids and the Parent or Guardian.

5.4 The decision made by OhmsKids regarding the refund request is final and binding. Parents or Guardians acknowledge that they have no entitlement to a refund unless expressly granted by OhmsKids

Make-up Classes

6.1 OhmsKids may, at its sole discretion, allow make-up classes, subject to the following conditions:

6.2 Make-up classes are only permitted with a valid medical note or certificate.

6.3 Make-up classes must be scheduled in advance and are subject to availability.

6.4 If a Child is unable to attend a make-up class, they may bring over the missed class to the next subsequent term, subject to availability.

6.5 For all lessons, a minimum of 48 hours’ notice is required for cancellation. If not, it shall be considered as used.

Attendance and Absence

7.1 Regular attendance is expected and encouraged.

7.2 In the event of absence, OhmsKids will not provide additional make-up classes beyond what is allowed at its discretion.

7.3 Parents or Guardians are expected to ensure that their Child arrives on time for classes. If a Child arrives more than 10 minutes late, they may not be permitted to join the class, as it may disrupt the learning environment. Classes will end at the scheduled time regardless of the Child’s arrival time.

Conduct and Behavior

8.1 Children are expected to behave in a respectful and considerate manner towards OhmsKids’ staff, other children, and equipment.

8.2 OhmsKids reserves the right to terminate Services if a Child’s behavior is deemed unacceptable.

Intellectual Property

9.1 OhmsKids retains all intellectual property rights to its Services, including but not limited to, curriculum, materials, and software.

9.2 Parents and Guardians agree not to reproduce, distribute, or display OhmsKids’ intellectual property without prior written consent.

9.3 In the event of intellectual property infringement, OhmsKids reserves the right to take legal action against the infringing party.

Confidentiality

10.1 OhmsKids will maintain the confidentiality of all personal data and information provided by Parents and Guardians.

10.2 OhmsKids will comply with the Personal Data Protection Act 2012 (Singapore) in its handling of personal data.

Liability and Indemnity

11.1 OhmsKids will not be liable for any damages or losses arising from the use of its Services, except to the extent caused by OhmsKids’ gross negligence or willful misconduct.

11.2 Parents and Guardians agree to indemnify OhmsKids against any claims, damages, or losses arising from the Child’s use of the Services.

11.3 OhmsKids’ liability shall be limited to the total amount paid by the Parent or Guardian for the Services in the preceding 12 months.

11.4 OhmsKids and its staff will not be held responsible for any loss or damage to personal devices brought by the Child to classes or events.

11.5 Parents and Guardians agree to indemnify OhmsKids against any claims, damages, or losses arising from the Child’s use of the Services or any breach of these Terms.

Governing Law

12.1 These Terms will be governed by and construed in accordance with the laws of Singapore.

12.2 Any disputes arising from these Terms will be resolved through arbitration in accordance with the Arbitration Act (Cap. 10) of Singapore.

12.3 The arbitration will be conducted in English, and the arbitrator’s decision will be final and binding.

12.4 The arbitration will take place in Singapore, and will be conducted in accordance with the rules of Singapore.

12.5 Any legal proceedings shall be conducted in the courts of Singapore.

Entire Agreement

13.1 These Terms constitute the entire agreement between OhmsKids and Parents or Guardians.

13.2 These Terms supersede all prior or contemporaneous agreements or understandings, whether written or oral.

Cancellation Policy

15.1 OhmsKids reserves the right to cancel any course or program at any time, with or without notice, due to unforeseen circumstances or insufficient enrollment.

15.2 In the event of cancellation, OhmsKids will provide a full refund of the course fee to the Parent or Guardian.

15.3 If a Parent or Guardian wishes to cancel their enrollment, OhmsKids may, at its sole discretion, allow cancellation and provide a refund.

15.4 The amount of the refund, if any, will be determined by OhmsKids in its sole discretion.

15.5 To initiate a cancellation, the Parent or Guardian must submit a written request to OhmsKids, detailing the reason for cancellation.

Late Payment Fees

16.1 If a Parent or Guardian fails to make payment on time, OhmsKids reserves the right to charge a late payment fee of 5% of the outstanding amount.

16.2 The late payment fee will be charged on the 15th day after the due date of payment.

16.3 In addition to the initial late payment fee, OhmsKids may charge a compounding late payment fee of 2% per month on the outstanding amount, or part thereof, until the payment is made in full.

16.4 The compounding late payment fee will be calculated from the date the payment was due and will be added to the outstanding amount on a monthly basis.

Data Protection and GDPR Compliance

17.1 OhmsKids is committed to protecting the personal data of its students and their parents or guardians.

17.2 OhmsKids will comply with the General Data Protection Regulation (GDPR) and the Personal Data Protection Act 2012 (Singapore) in its handling of personal data.

17.3 Parents or Guardians have the right to access, correct, and delete their personal data, and to object to the processing of their personal data.

Force Majeure

18.1 OhmsKids will not be liable for any failure to perform its obligations under these Terms if such failure is caused by an event beyond its control, including but not limited to, natural disasters, war, or government regulations.

18.2 In the event of a force majeure, OhmsKids will notify the Parent or Guardian as soon as possible and will use reasonable efforts to mitigate the effects of the event.

18.3 Examples of force majeure events include, but are not limited to, pandemics, strikes, and government lockdowns.

Termination

19.1 OhmsKids reserves the right to terminate these Terms at any time, with or without notice, if a Parent or Guardian breaches any of the terms and conditions.

19.2 Upon termination, the Parent or Guardian will be liable for any outstanding fees or charges.

Acceptance

20.1 By using OhmsKids’ Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Changes to Terms

21.1 OhmsKids reserves the right to modify or update these Terms at any time without prior notice.

21.2 Any amendments will be effective immediately upon posting on the OhmsKids website

21.3 Your continued use of OhmsKids’ Services after any changes to these Terms will be deemed acceptance of the revised Terms.

Severability

22.1 If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

22.2 The invalid or unenforceable provision will be replaced with a valid and enforceable provision that achieves the same purpose.

Notices

23.1 Any notices required to be given under these Terms will be in writing and will be delivered to the address specified in the Contact Us section.

23.2 Notices may also be sent by email to the email address specified in the Contact Us section.

Waiver

24.1 OhmsKids may waive any of its rights or obligations under these Terms at any time, without prejudice to its rights to enforce these Terms in the future.

24.2 Any waiver will be in writing and will be delivered to the Parent or Guardian.

Immediate Pickup Requirement

25.1 In the event that a Child is unable to continue with a class due to illness, behavioral issues, or any other reason deemed appropriate by OhmsKids, the Parent or Guardian will be notified immediately.

25.2 The Parent or Guardian is required to pick up the Child from the premises within 10 minutes of being notified.

25.3 Failure to pick up the Child within the specified time may result in a discretionary late pickup fee of SGD 50 for each 10-minute interval or part thereof until the Child is picked up.

25.4 If the class cannot continue due to the Parent or Guardian’s failure to comply with the immediate pickup requirement, the Parent or Guardian will be liable for any damages incurred as a result of the disruption.

25.5 OhmsKids reserves the right to suspend Services until the situation is resolved and may terminate the Child’s enrollment if the Parent or Guardian fails to comply with this requirement on multiple occasions.

Parental Responsibilities

26.1 Parents or Guardians are responsible for ensuring that their Child arrives on time for classes and is picked up promptly after classes.

26.2 Parents or Guardians must inform OhmsKids of any medical conditions or special needs of the Child that may affect their participation in the Services.

26.3 Parents or Guardians are also responsible for picking up their Child promptly after classes. A discretionary late pickup fee of SGD 50 will be charged for each 10-minute interval or part thereof after the scheduled pickup time.

Health and Safety

27.1 OhmsKids is committed to providing a safe and healthy environment for all children participating in its Services.

27.2 Parents or Guardians must inform OhmsKids of any medical conditions, allergies, or special needs of the Child that may affect their participation in the Services.

27.3 Children who are known to be sick or exhibiting symptoms of illness are not permitted to attend classes. Parents or Guardians are responsible for ensuring that their Child does not attend if they are unwell.

27.4 OhmsKids reserves the right to refuse attendance to any Child who appears to be sick or exhibiting symptoms of illness. In such cases, Parents or Guardians will be notified immediately, and they are required to pick up the Child from the premises within 10 minutes of notification, as outlined in Clause Immediate Pickup Requirement.

27.5 In the event of an emergency, OhmsKids will take reasonable steps to ensure the safety and well-being of the Child, including contacting emergency services if necessary.

27.6 Parents or Guardians are responsible for ensuring that their Child is in good health and fit to participate in the Services. Failure to comply with this requirement may result in the suspension of Services, and Parents or Guardians may be held liable for any consequences arising from their Child’s attendance while sick.

27.7 OhmsKids is not a childcare center and does not provide care, custody, or babysitting services. Parents or Guardians are responsible for ensuring that their Child is sent to, attends, and leaves the premises in a timely and safe manner.

Photography and Media Release

28.1 OhmsKids may take photographs or videos of children during classes and events for promotional purposes.

28.2 By enrolling in OhmsKids’ Services, Parents or Guardians grant OhmsKids permission to use their Child’s image in promotional materials, including but not limited to brochures, websites, and social media.

28.3 If Parents or Guardians do not wish for their Child’s image to be used, they must provide written notice to OhmsKids at the time of enrollment.

Limitation of Liability for Third-Party Services

29.1 OhmsKids may utilize third-party services or platforms for certain aspects of its Services, including online classes or educational tools.

29.2 OhmsKids will not be liable for any damages, losses, or issues arising from the use of such third-party services, including but not limited to service interruptions, data breaches, or technical difficulties.

29.3 Parents or Guardians acknowledge that they are responsible for ensuring their Child’s access to and use of any third-party services and that OhmsKids is not responsible for any issues that may arise from such use.

Feedback Mechanism

30.1 OhmsKids values feedback from Parents and Guardians.

30.2 Parents or Guardians are encouraged to provide feedback on the Services, which can be submitted via email or through the contact form on the website or through WhatsApp.

31.1 Discretionary Guarantee: OhmsKids offers a 100% Money Back Guarantee at its sole discretion for Parents or Guardians who are not satisfied with the Services provided.

31.2 Eligibility: The Money Back Guarantee applies only to the first term of enrollment in OhmsKids’ Services. Parents or Guardians must submit a refund request within 14 days of the start date of the first term to be considered for this guarantee.

31.3 Refund Processing: If the request is approved, OhmsKids will process the refund in accordance with the procedures outlined in the Refund Policy.

Effective Date

32.1 These Terms are effective as of 1 December 2024
